Terms of Service — Sitechx

These Terms of Service ("Terms") govern your access to and use of the Sitechx platform operated by Sitechx Technologies Ltd, a company registered in Kenya. By accessing or using our platform, you agree to be bound by these Terms.

1. Platform Description

Sitechx is a B2B digital commerce infrastructure platform providing escrow-protected payments, identity verification, inventory management, logistics orchestration, and AI market intelligence services to businesses operating in Kenya and East Africa.

2. Eligibility

You must be at least 18 years of age and represent a registered business entity to use Sitechx. Individual consumers are not the target users of this platform. By registering, you warrant that all information submitted during KYC/KYB verification is accurate and complete.

3. Escrow Services

Escrow funds are held in a ring-fenced account regulated by the Central Bank of Kenya guidelines. Sitechx does not earn interest on escrowed funds. Release of funds follows the conditions set at order creation and confirmed by both parties. Disputed funds may be held pending resolution for up to 14 business days.

4. Fees

Platform subscription fees are charged monthly or annually per the selected plan. Escrow transaction fees are charged as a percentage of transaction value (1.5% Starter, 1.2% Growth, negotiated on Enterprise). All fees are exclusive of VAT where applicable under Kenyan law.

5. Prohibited Conduct

Creating fraudulent listings or misrepresenting goods or services.
Attempting to circumvent the escrow system for off-platform payments.
Using the platform for money laundering, terrorism financing, or other illegal purposes.
Reverse engineering, scraping, or attempting to compromise platform security.
Sharing account credentials with unauthorised third parties.

6. Dispute Resolution

Disputes between buyers and sellers are first handled by our in-platform resolution team. Unresolved disputes may be escalated to binding arbitration under the Nairobi Centre for International Arbitration (NCIA) rules. Kenyan law governs all disputes.

7. Limitation of Liability

Sitechx's aggregate liability in connection with these Terms shall not exceed the total fees paid by you in the 12 months preceding the claim. Sitechx is not liable for indirect, incidental, or consequential damages, including loss of profit or business opportunity.

8. Intellectual Property

All platform software, algorithms, branding, and content are the exclusive property of Sitechx Technologies Ltd. You are granted a limited, non-exclusive, non-transferable licence to use the platform during your subscription period.

9. Termination

Either party may terminate this agreement with 30 days' written notice. Sitechx may suspend or terminate accounts immediately in cases of fraud, material breach, or regulatory requirement. Escrowed funds will be returned to the appropriate party upon termination.

10. Governing Law

These Terms are governed by the laws of Kenya. Any legal proceedings shall be conducted in the courts of Nairobi County.
